Master Terms, Privacy & Service Agreement

1.Acceptance of Terms

By accessing or using Purkle8.ai ("Service"), you agree to be bound by this Master Terms, Privacy, Service Level, and Data Processing Agreement ("Agreement"). If you do not agree to these terms, you may not access or use the Service.

If you are entering into this Agreement on behalf of an organization, you represent and warrant that you have authority to bind that organization.

2.Company Information

Purkle8.ai is owned and operated by Kits Beach Consulting Inc., a corporation incorporated under the laws of British Columbia, Canada.

3.Description of Service

Purkle8.ai provides a SaaS platform designed to support B2B sales teams with content management, messaging, AI-assisted communication, deal strategy, knowledge management, sales methodology workflows, and related revenue enablement capabilities.

We may update, enhance, modify, remove, or discontinue features of the Service at any time.

4.Eligibility

You must:

• Be at least 18 years old
• Have authority to bind your organization (if applicable)
• Use the Service in compliance with all applicable laws and regulations

5.License Grant

Subject to compliance with this Agreement and payment of applicable fees, Kits Beach Consulting Inc. grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes.

You may not:

• Resell or sublicense the Service
• Reverse engineer or attempt to extract source code
• Use the Service to build competing products
• Access the Service for benchmarking purposes without written authorization

6.Account Registration & Security

You agree to:

• Provide accurate and complete information
• Maintain confidentiality of login credentials
• Notify us immediately of unauthorized access
• Ensure all users under your account comply with this Agreement

You are responsible for all activity occurring under your account.

7.Subscription, Billing & Payments

• Fees are billed monthly or annually, based on selected subscription options.
• Charges are processed in the currency associated with your payment method
• All fees are non-refundable unless otherwise stated
• Pricing may change with reasonable notice
• Subscription plans automatically renew unless cancelled prior to renewal

Failure to pay may result in suspension or termination of access.

Taxes, duties, or government assessments are your responsibility unless otherwise stated.

Fair Use of AI Services

The Services are intended to provide Customers with reasonable and consistent access to AI-powered features as part of their subscribed plan. While the Company may describe certain features as "unlimited," such usage is subject to this Fair Use Policy.

The Customer agrees to use the Services in a manner consistent with normal business operations and the intended purpose of the platform. Usage patterns that materially exceed typical customer usage, create excessive system load, result in disproportionate third-party AI processing costs, or negatively impact platform performance for other customers may be considered excessive usage.

The Company reserves the right to monitor aggregate usage levels and, where excessive usage is identified, may:

• Contact the Customer to review usage patterns;
• Recommend an alternative subscription plan or custom pricing arrangement;
• Apply reasonable usage limits, rate limits, or processing restrictions;
• Temporarily suspend access to specific AI-intensive features until usage returns to acceptable levels; or
• Require the Customer to upgrade to an enterprise or usage-based plan.

The Company will make commercially reasonable efforts to provide advance notice before implementing any restrictions under this section, except where immediate action is necessary to protect platform stability, security, or service availability.

The Company shall determine excessive usage based on objective operational metrics, including but not limited to AI processing volume, request frequency, token consumption, system resource utilization, and comparative usage patterns across the customer base. The Company's determination of excessive usage shall be reasonable and made in good faith.

Nothing in this section shall limit the Customer's ability to use the Services for legitimate business purposes within the intended scope of the subscribed plan.

8.Acceptable Use

You agree not to:

• Use the Service for unlawful or fraudulent purposes
• Upload malicious code, malware, or harmful content
• Interfere with platform security or infrastructure
• Reverse engineer, scrape, copy, or exploit the platform
• Use automated systems to extract data without authorization
• Upload data you do not have rights to process
• Violate intellectual property or privacy rights
• Use the Service in violation of export control or sanctions laws
• Attempt prompt injection attacks or abuse AI functionality
• Use the Service to generate unlawful, discriminatory, or harmful content

We reserve the right to suspend or terminate accounts for violations.

9.Customer Data & Ownership

You retain ownership of all data, files, documents, and materials uploaded to the Service ("Customer Data").

You grant Kits Beach Consulting Inc. a limited right to process Customer Data solely to:

• Provide and operate the Service
• Maintain platform functionality
• Deliver support and security
• Improve platform performance
• Generate AI-assisted outputs requested by users

Unless explicitly authorized by you, Customer Data will not be used to train public AI models.

We may use aggregated and anonymized usage data for analytics, performance monitoring, and platform improvement.

10.Confidentiality

Each party agrees to protect confidential information disclosed by the other party using reasonable care.

Confidential Information includes:

• Business strategies
• Customer information
• Sales methodologies
• Uploaded documents
• Pricing information
• Product roadmaps
• AI-generated outputs
• Non-public operational information

Confidential Information does not include information that:

• Is publicly available
• Was independently developed
• Was lawfully obtained from a third party
• Is required to be disclosed by law

Confidentiality obligations survive termination of this Agreement.

11.Intellectual Property

All rights, title, and interest in the Service, platform, software, branding, documentation, workflows, and related intellectual property remain the exclusive property of Kits Beach Consulting Inc.

No ownership rights are transferred under this Agreement.

12.AI & Generated Content Disclaimer

AI-generated outputs:

• Are provided on an "AS IS" and "AS AVAILABLE" basis
• May contain inaccuracies, omissions, or incomplete information
• May generate similar outputs for different users
• Should not be solely relied upon for business, legal, financial, or operational decisions

You are responsible for reviewing, validating, and approving all outputs generated through the Service.

Kits Beach Consulting Inc. makes no warranties regarding:

• Accuracy of AI-generated content
• Commercial outcomes
• Revenue performance
• Forecasting accuracy
• Sales conversion improvements

13.Privacy & Data Protection

13.1 Information We Collect

We may collect:

• Account and contact information
• Billing and payment details via third-party processors
• Usage and analytics data
• Customer Data uploaded to the platform
• AI interaction inputs and outputs
• Device and browser information
• Support communications

13.2 How We Use Data

We use information to:

• Provide and operate the Service
• Authenticate users
• Improve platform functionality
• Deliver customer support
• Maintain platform security
• Prevent misuse or fraud
• Comply with legal obligations
• Improve AI-assisted workflows and user experience

13.3 Legal Basis (GDPR)

• Contractual necessity

• Legal obligations

13.4 Data Sharing

We do not sell personal data.

Data is retained only as long as reasonably necessary for:

We implement commercially reasonable administrative, technical, and organizational safeguards including:

• Infrastructure monitoring

13.8 User Rights

14.Data Processing Addendum (DPA)

14.1 Roles

• Customer = Data Controller
• Kits Beach Consulting Inc. = Data Processor

14.2 Scope of Processing

Customer Data may be processed for:

• SaaS functionality
• Data storage
• AI-assisted analysis
• Workflow automation
• Security and maintenance

14.3 Processor Obligations

We will:

• Process data only on documented instructions
• Maintain confidentiality obligations
• Implement appropriate security measures
• Assist with lawful data requests
• Support applicable compliance obligations

14.4 Subprocessors

We may engage subprocessors under equivalent confidentiality and data protection obligations.

14.5 Security Measures

Security controls may include:

• Encryption where applicable
• Access restrictions
• Monitoring and logging
• Secure infrastructure management
• Vendor risk management

14.6 Data Breach Notification

We will notify affected customers without undue delay following confirmation of a material security incident involving Customer Data.

14.7 Data Subject Rights

We will reasonably assist customers in responding to lawful access, correction, deletion, or portability requests.

14.8 Data Transfers

International data transfers will rely on Standard Contractual Clauses or equivalent legal safeguards where applicable.

14.9 Data Deletion

Upon termination:

• Customer Data may be deleted or returned upon request
• Limited backup retention may apply
• Certain records may be retained for legal or compliance purposes

14.10 Audit Rights

Customers may request reasonable evidence of compliance, subject to confidentiality and security limitations.

15.Service Level Agreement (SLA)

15.1 Uptime Commitment

Target uptime: 99.5% per calendar month, excluding scheduled maintenance, emergency maintenance, third-party outages, internet disruptions outside our control, and force majeure events.

15.2 Support

15.3 Maintenance

Scheduled maintenance may occur periodically with notice where reasonably possible.

15.4 SLA Credits

Credits apply only to future billing cycles.

15.5 Customer Responsibilities

Customers agree to:

• Use the platform as intended
• Maintain backups where appropriate
• Report issues promptly
• Maintain security of account credentials

16.Export Controls & Sanctions

You represent and warrant that you are not located in, under control of, or a resident of any country or jurisdiction subject to Canadian, U.S., or international sanctions restrictions.

You agree not to use the Service in violation of applicable export control laws.

17.Third-Party Services

The Service may integrate with third-party services, APIs, AI providers, cloud infrastructure, payment processors, and software tools.

We are not responsible for:

• Third-party service interruptions
• Third-party policies or practices
• Data handling by third parties
• External platform outages

Use of third-party services may be governed by separate terms.

18.Termination

We may suspend or terminate access immediately if:

• You breach this Agreement
• Payment is not received
• Required by law
• Your use creates security or legal risk

You may cancel your subscription at any time.

Termination does not relieve payment obligations accrued prior to termination.

19.Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." KITS BEACH CONSULTING INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY
• RELIABILITY
• UNINTERRUPTED ACCESS

We do not guarantee that the Service will be error-free, uninterrupted, or meet all customer requirements.

20.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• KITS BEACH CONSULTING INC. SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• THIS INCLUDES LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE SERVICES

OUR TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO KITS BEACH CONSULTING INC. DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

21.Indemnification

You agree to indemnify, defend, and hold harmless Kits Beach Consulting Inc. and its officers, directors, employees, contractors, and affiliates from claims, liabilities, damages, losses, and expenses arising from:

• Your use of the Service
• Violation of this Agreement
• Violation of applicable law
• Infringement of third-party rights
• Customer Data uploaded to the platform

22.Force Majeure

Neither party shall be liable for delays or failures resulting from causes beyond reasonable control, including:

• Internet outages
• Cloud provider failures
• Cyberattacks
• Natural disasters
• Government actions
• War
• Labour disputes
• Pandemics
• Utility failures

23.Governing Law & Disputes

This Agreement is governed by the laws of British Columbia, Canada, without regard to conflict of law principles.

The parties agree that disputes shall be resolved exclusively in the courts located in British Columbia, Canada.

If legally enforceable in the applicable jurisdiction, class action proceedings are waived.

24.Changes to Agreement

We may update this Agreement periodically. Material updates may be communicated through:

• Platform notifications
• Website postings
• Email communications

Continued use of the Service constitutes acceptance of updated terms.

25.DMCA & Copyright Complaints

If you believe content on the Service infringes intellectual property rights, please contact: hello@purkle8.ai

We may remove allegedly infringing content where appropriate.

26.General Provisions

Entire Agreement

This Agreement constitutes the complete agreement between the parties and supersedes prior understandings.

Severability

If any provision is held unenforceable, the remaining provisions remain in effect.

Waiver

Failure to enforce any provision shall not constitute a waiver.

Assignment

You may not assign this Agreement without written consent. Kits Beach Consulting Inc. may assign this Agreement in connection with merger, acquisition, or sale of assets.

Survival

Provisions relating to confidentiality, intellectual property, limitation of liability, indemnification, payment obligations, and dispute resolution survive termination.

Independent Contractors

The parties are independent contractors. Nothing creates partnership, employment, or agency relationships.
